Filing an Amendment
An amendment filing changes information previously recorded during an
initial filing. Some examples include restating articles of incorporation,
changing the address of the registered agent or business entity (BE),
terminating your corporation, renewing a fictitious name, correcting erroneous
information, adding stock, or deleting officers. If an amendment changes
the name of the corporation, the new name must pass a name availability
search in order for the filing to be accepted.
Notes:
- If another filing for the same business entity
is in process or is of the same filing type as the current filing,
you will be alerted to try again later. The current filing cannot
be continued but can be restarted when the other filing has been completed
(accepted/rejected).
- Screens, fields and labels that display in images
below are configurable based on your jurisdiction's implementation
and may not reflect your filing type.
- If you need to re-enter information, select the
button labeled Previous to
return to the screen you were on prior to the current screen.
- If your filing requires a two-step review process,
an internal Secretary of State processor must review your filing for
compliance before it can be accepted or rejected. After making payment,
you will be notified via the email address set up during account creation.

filing records.

How to file an amendment:
Navigate to the
Corporations Division dashboard.
Select the applicable
amendment option from the dashboard. The File
an Amendment for an Entity screen displays with the File
an Amendment tab highlighted.
Enter
the Charter No. and then select
the File Amendment button.
The Details screen displays.
- Select a Filing
Type from the drop-down list, and then select the File
Online button to display the General
Information screen. Screens, labels and fields that display
reflect the filing type and BE type based on your jurisdiction's implementation.
- Revise the information as needed. For this filing
type example, Articles of Amendment,
the following information may be entered:
- Enter the Amendment
Adoption Date and Amended
Article Number. The article number refers
to one of the sections in the Articles
of Incorporation initially filed when creating the corporation.
In this example, Article One (name of the corporation) is
being changed.
- Select the Next:
New Name button to display
the associated screen, and enter the new Name.
- Select Next:
Amend Details and enter the changes.
- Select Next:
Share Increase and indicate whether share have or have
not increased.
- Select the Next:
Outstanding button. The Outstanding
Shares screen appears.
- Enter the following information:
- Outstanding Shares
- Voting Shares
- Outstanding shares class
- Outstanding shares count
- Select the Next:
Voting button to display the Voting
Shares screen.
- If needed, upload any supporting
documentation (select the Browse
button to find your documents and then select Upload
to attach them).
- Enter the Class
of shares that voted.
- Enter the number of shares
voted for and voted against in the applicable
fields.
- Select the Next:
Share Details button. Enter information, as applicable.
- Select the Next:
Review Filing button to display the associated screen.
- Review the filing for accuracy; edit information
as needed.
- Select the Acknowledgment
check box.
- Refer to Reviewing
Your Filings for detailed information on reviewing and editing
filings.
- Select the Next:
Signatures button to display the associated screen.
- Select one or more names from the list that
displays.
- Select the Acknowledgment
check box. There may be multiple check boxes.
- Refer to Managing
Signatures for additional information.
- Select the Next:
Shopping Cart to display the Shopping
Cart.
- Shopping cart items can be modified and new
items added, if needed.
- Select the Confirmation
check box.
- Select the Next:
Payment button to display the associated screen.
- Select your payment method and enter
payment information.
- Select the Terms
and Conditions check box.
- Refer to Managing
Payments for complete details.
- Select the Next:
Submit Payment button to display the associated screen.
- Payment confirmation displays information about
your order.
- To view documentation, select the View
Documentation button.
- Refer to Order
Summary/Correspondence-BE for additional information.
